Terms of Use
These terms exist to protect both sides: the customer knows what they’re buying, and OhioMade is protected from assumptions about forever support.
1. Introduction
Ohio Made provides business software systems designed to support real-world operations, including identity management, business administration, compliance workflows, reporting, and related tools.
By accessing, using, or purchasing any Ohio Made software or services, you agree to these Terms of Use. If you do not agree, do not use Ohio Made software.
2. Product types
2.1 Hosted Services (SaaS)
Operated and maintained by Ohio Made. Updates and changes are controlled by Ohio Made. Features and availability may evolve over time.
2.2 Private Licensed Deployments
Delivered as-is for a single customer. Version-locked to specific software and runtime environments. Customer controls hosting, infrastructure, and administration.
2.3 Custom / Enterprise
Certain customers may operate under separate written agreements. Those agreements supersede these Terms where applicable.
3. Version lock and compatibility
Private licensed deployments are delivered for specific software versions and runtime environments available at the time of delivery.
Ohio Made does not guarantee compatibility with future operating system versions, programming language versions (including PHP), database versions, or third-party software updates.
Changes made to the customer’s environment after delivery are the customer’s responsibility.
4. Updates and support
Support and updates are defined by scope:
Updates
Updates are optional and not automatic. Updates may require additional fees.
Support scope
Support is limited to the delivered version and documented environment.
Out of scope
Issues caused by third-party changes or customer-initiated changes are out of scope.
5. Ownership and intellectual property
Customers own their data, content, and deployed instance.
Ohio Made retains all rights to system architecture, internal logic, non-public workflows, patterns, structures, and methodologies.
No rights are granted beyond the licensed use of the software unless explicitly stated in writing.
6. No guarantee of future availability
Ohio Made does not guarantee that any feature, service, or software version will remain available indefinitely.
Ohio Made may modify, suspend, or discontinue software or services at its discretion, subject to applicable agreements.
7. Limitation of responsibility
Ohio Made is not responsible for customer infrastructure decisions, hosting provider outages, third-party failures, or environment changes made after delivery.
Software is provided as-is, unless explicitly stated otherwise in writing.
8. Acceptance of terms
By using or purchasing Ohio Made software or services, you acknowledge that you have read, understood, and agreed to these Terms of Use.
